1. Acceptance
These Terms of Service ("Terms") govern your access to and use of uimo ("uimo", "we", "us", or "our"), including our website, applications, and AI-assisted motion creation, editing, preview, and export features (the "Service").
Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.
2. Accounts and Eligibility
You may need an account to use some features. You must provide accurate and current information and are responsible for all activity under your account.
You must keep your login credentials secure and notify us promptly if you believe your account has been accessed without authorization.
If you are a minor, you may use the Service only with consent from a parent or legal guardian. We may refuse, suspend, or terminate accounts that violate these Terms or have previously been suspended for abuse.
3. The Service
uimo provides tools for creating, editing, previewing, rendering, exporting, and managing motions with the assistance of AI. The Service may include free and paid plans with different limits, features, credits, export options, or other benefits.
We may add, change, suspend, or discontinue features, limits, plans, or parts of the Service from time to time.
4. License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or business purposes.
Free plan outputs are for personal, non-commercial use only unless we expressly state otherwise. Paid plan outputs may be used for commercial purposes, subject to these Terms and any plan-specific limits shown in the Service.
You must not:
- copy, modify, reverse engineer, decompile, or attempt to extract source code from the Service;
- resell, sublicense, lease, or provide the Service to third parties except as expressly permitted;
- use the Service to build or train a competing product, model, dataset, or service;
- circumvent usage limits, billing systems, access controls, or security features;
- remove, obscure, crop, cover, alter, or bypass any watermark or attribution applied by the Service;
- use automated scraping, crawling, or data extraction methods without our permission.
5. User Content and Outputs
"User Content" means prompts, instructions, code, images, videos, files, assets, and other materials that you submit, upload, create, or edit through the Service. "Outputs" means motions, previews, exports, code, files, or other results generated or produced through the Service.
As between you and uimo, you retain your rights in your User Content. Subject to these Terms, any plan-specific restrictions, and applicable law, you may use Outputs for personal or commercial purposes.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and modify User Content and Outputs only as reasonably needed to provide, maintain, secure, support, and improve the Service.
You are responsible for your User Content, your use of Outputs, and making sure you have the rights and permissions needed to submit content to the Service and use the resulting Outputs.
AI-generated Outputs may be similar or identical to outputs generated for other users, may contain errors, and may require review before use. We do not guarantee that Outputs are unique, accurate, legally compliant, or non-infringing.
6. Prohibited Content and Conduct
You must not use the Service to create, upload, process, or distribute content that:
- violates applicable law or the rights of others;
- contains malware, phishing, spam, or other harmful or deceptive material;
- infringes intellectual property, privacy, publicity, or other rights;
- contains sexual content involving minors or exploits or harms minors;
- promotes violence, terrorism, hateful conduct, harassment, or unlawful discrimination;
- contains credentials, secrets, or sensitive personal information that you are not authorized to process;
- interferes with, disrupts, or damages the Service or other users' use of the Service.
We may remove content, restrict features, suspend accounts, or terminate access if we believe these Terms have been violated or if needed to protect the Service, users, or third parties.
7. Subscriptions, Billing, and Cancellation
Paid plans are billed in advance on a recurring subscription basis. By purchasing a paid plan, you authorize us and our payment processor to charge the applicable fees for the selected plan and billing period.
Unless you cancel before the next renewal, your subscription will automatically renew for the same billing period, and you will be charged the then-current fees for that plan.
You can cancel your subscription from your account settings. Cancellation stops future renewals, but you may continue to use paid features until the end of the current paid period.
Fees are non-refundable except where required by law or expressly stated by us. If a payment fails, we may suspend or limit access to paid features.
We may change prices or plan features. If a change materially affects an existing paid subscription, we will provide reasonable notice before the change applies to that subscription.
8. Privacy
Our Privacy Policy explains how we collect, use, and disclose information. By using the Service, you acknowledge that your information will be handled as described in the Privacy Policy.
9. Service Availability
The Service may be unavailable, delayed, interrupted, or changed due to maintenance, updates, failures, external service providers, security issues, or events beyond our reasonable control. We are not responsible for delays or failures caused by events outside our reasonable control.
10. Disclaimer
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.
We do not warrant that the Service or any Output will meet your requirements, be error-free, be legally compliant for your use case, or be suitable for publication without review.
11. Limitation of Liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities.
To the fullest extent permitted by law, our total liability arising out of or relating to the Service or these Terms will not exceed the amount you paid to us for the Service in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intentional misconduct or gross negligence where such limitation is not permitted.
12. Indemnity
You agree to defend, indemnify, and hold harmless uimo from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your User Content, your use of Outputs, your use of the Service, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk for us or others, fail to pay fees, or use the Service in a way that may harm the Service, other users, or third parties.
Upon termination, your right to use the Service ends. Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitation of liability, indemnity, governing law, and dispute provisions.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by another appropriate method. We may also update these Terms to reflect new features, legal requirements, security needs, or abuse prevention measures. Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan, without regard to conflict of law principles. The Tokyo District Court has exclusive jurisdiction as the court of first instance over disputes arising out of or relating to these Terms or the Service.
16. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
You may not use the uimo name, logo, or brand assets in a way that suggests endorsement, sponsorship, or affiliation without our prior permission.
